2. General conditions
2.1 IEX ApS delivers services to the Internet. IEX have a legal as normal ethical rules related to these services, which must be met.
The following sales and delivery terms is found in use to that extent, they don't derogated by another written agreement between the parts.
IEX is not bound by the customers' terms and conditions in their customer orders unless they are in accordance with IEX's present terms and conditions.
3. Ordering and payment.
3.1 The customer will receive an order confirmation at completed order.
3.2 IEX forwards invoice as soon as your integration has been delivered.
3.3 Invoices are paid by bank transfer or credit card.

3.5 IEX accepts payment with the following credit cards:
Visa/Dankort, Visa, MasterCard, Visa Electron, JCB and Maestro.
Transaction fees for credit card payment will be added for online payment.
4.1 For you to enter into an agreement with IEX ApS, we need the following information: Name, Address, Telephone number, Email address, VAT
4.2 IEX makes records of your personal information in order to provide the service to you.
4.3 Person data is registered at IEX and is kept for 5 years, whereafter the data will be deleted.
4.4 When collecting personal information through our website, you ensure that it always happens when submitting your express consent, so that you are informed of exactly what information is collected and why.

5. Supply, processing and delivery.
5.1 IEX will always treat the order as soon as possible.

5.3 When IEX perform your configuration, develiery time is typically 1-3 work days.
5.4 You will be contacted by IEX employee concerning your configuration where IEX may request login information.

5.8 IEX delivers digital content which is not associated with any physical media. IEX only deliver services expressly ordered and accepted by the customer and therefore there is no right of withdrawal once the integration is ready registered and billed.
6. IEX subscription.
6.1 The benefits may vary depending on the plan you subscribe to cf IEX website which is typically divided into Basic, Standard or Premium customer subscription.
6.2 Subscriptions prepaid and runs from contract commencement and 6 months forward.
6.3 The subscription can be canceled at any time in writing with one month's notice to the end of the subscription period, then IEX transmit a confirmation of termination. The termination can be made in writing on [email protected] It is the Customer's responsibility to terminate the agreement one month before the renewal period, even if the Customer no longer uses the IEX provided services.
6.4 The agreement is renewed automatically every 5 months for a new subscription.

6.6 The customer's subscription type can be changed at any time by IEX without notice. IEX will typically account for an upgrade under the terms of data usage mm. Prepaid tax offset may only cost of major types of integrations, but there are no such guarantees.

6.8 For Premium customers with more than 2.000 orders per month IEX has the right to contact the customer at any time about changing the subscription to a dedicated integration for 79 EUR per month with unlimited order transfer. This is due to the stability of the IEX shared integration. The IEX customer can decide to upgrade to this solution or cancel the subscription within the normal time limits.
6.9 IEX has the right to contact IEX customers at any time who have a transfer of data bigger than normal of orders, products and customers, for transfer to another subscription type.
6.10 If you wish to cancel a subscription in violation of the general rules, arrears equivalent to the remaining subscription not paid back to the customer.
Discomfort of other subscribers and infringement of the terms will be considered as abuse of IEX services.
This can always lead to the closure and termination of a subscription. IEX is in every respect superior in the definition of abuse.
6.11 If the customer's order transfers exeeds the orders included per month in the customer's chosen IEX subscription, the customer will be billed for the relevant extra order package that covers the used orders. Prices for extra order packages are shown in IEX the dashboard.
7. Fair use transactions limit.
7.1 IEX has a fair use transactions limit for its subscriptions and the number of customers, products and orders can be transmitted per. month. This is because of operational
reasons and to ensure stablility.
7.2 Fair use limit for IEX Shared that is Basic, Standard, Premium and Enterpreise is 5.000 transactions per day maximum 60.000 per month. IEX Dedicated Fair use limit is 10.000 transactions per day maximum 120.000 per month.
7.3 IEX has the right to close demo accounts without any notice and at any time during the demo period. Demo users have no rights for transfer of any data or access to support.
7.4 IEX can always make an upgrade subscription on exceeding the fair use limit. IEX will typically raise the matter. By significantly overuse of transactions IEX at any time suspend pending the finalization of. Overconsumption, or cancel a subscription.
8. Operational reliability.
8.1 IEX reserves the right to limit the offered services applications for operational or security reasons. This can happen without warning. IEX is committed to issue

9. Logging of data.

customer, product and order info. IEX does not log credit card info, only that that a credit card was used for payment.
10. For configuration handled by IEX.
10.1 Where IEX stands for to configure the integration for the customer. That is the cause that IEX would like to request access (logins) for startup of the integration with related systems
10.2 It is the responsibility of the customer to distribute the appropriate login options to IEX, so IEX can deliver the integration.
10.3 IEX will contact the Company for further configuration, thus also a clear message.
10.4 It is the customer's responsibility to familiarize themselves with the most general questions of configuration and ensure that prompt adequate.
10.5 IEX takes no responsibility for changes in the systems that has importance for the integration.

12. Updates, upgrades and maintenance of IEX service.

12.4 Updating will be ongoing while critical updates will happen soon as possible. You are always welcome to contact IEX for an update status. 12.5 IEX is not required to upgrade its service to newer versions, but will typically provide for this.
12.6 IEX will typically inform its customers about upgrading to newer versions, and there will be time spent herein.
12.7 IEX is not obligated to support or maintain an outdated IEX service in operation, but will endeavor to do so as long as IEX deems it necessary.
13.1 IEX can of the customer not be liable for features in source code, associated extensions or other software used in the offered services. This includes any damage,
loss of data, loss of earnings, loss of work or the like, whether due to properly use tools such as software and hardware failures or misconfigurations.
Costs for repairing damage caused by the customer's violation of this agreement required the customer to hold. This also includes IEXs time to the then-current hourly rate for support.
14.1 All prices quoted are exclusive. 25% VAT. The current price is the one on the day of order is listed on the homepage in the service provided. Lighted prices are

15. Returns and complaints.

16.1 IEX make its service available to management and automation of data. Customer is responsible for using IEX service for primary fault-finding and secondary search support for assistance.
16.2 IEX warrants that the services ordered will be conducted in a professional and technical manner, but does not guarantee that the service will lead to a certain result.
16.3 IEX disclaims any liability for loss of data, loss of earnings or other direct / indirect losses. This applies whether the loss is due to system failure, unauthorized access to the system or absent delivery of ordered services / services, or other conditions at IEX.
16.4 IEX can not be responsible for the user's or third party's use of the service or its features.
16.5 IEX ApS can not be held responsible for errors caused by the third party.
17.1 The customer may at any time terminate the subscription-service agreement with IEX jvnf. the applicable conditions. This happens to a month. 'Notice before closing the
